Preamble
We, the members of the Pakistan Association of Greater Boston (PAGB), recognizing the need for a formal organization to represent and serve the Pakistani community in the Greater Boston area and nearby New England states, do hereby establish this Constitution as the governing document of our association.
Article I — Purpose
PAGB is organized exclusively for charitable, educational, and cultural purposes. The association aims to: (a) promote the social, cultural, and educational welfare of Pakistani Americans; (b) organize events that celebrate Pakistani culture, heritage, and identity; (c) foster harmony between the Pakistani community and the broader New England society; and (d) serve as a collective voice for the Pakistani-American community on matters of common concern.
Article II — Membership
Membership is open to any individual who supports the purposes of PAGB. Membership categories include Family, Married Couple, Individual, and Student. Annual dues are set by the Board and may be revised as needed. Members in good standing are entitled to vote in PAGB elections and participate in all membership activities.
Article III — Board of Directors
PAGB is governed by a Board of Directors consisting of elected officers: President, Vice President, General Secretary, and Treasurer — as well as Directors responsible for specific program areas (Social Affairs, Cultural Programs, Community Services, Youth Affairs). The Board serves two-year terms and is responsible for all strategic and financial decisions of the association.
Article IV — Elections
Board elections are held every two years. All members in good standing for at least one year are eligible to vote. Candidates must be members in good standing for at least one year prior to nomination. Elections are conducted democratically with a transparent process managed by an independent election committee. Results are announced at the Annual General Meeting.
Article V — Meetings
PAGB holds an Annual General Meeting (AGM) open to all members, at which board elections (when due), financial reports, and major decisions are presented. The Board meets at least quarterly. Special meetings may be convened by the President or a majority of the Board. Quorum requirements are defined in the bylaws.
Article VI — Finances
PAGB funds are derived from membership dues, donations, sponsorships, event proceeds, and grants. The Treasurer is responsible for maintaining accurate financial records and presenting an annual financial report. PAGB operates as a 501(c)(3) nonprofit. All expenditures above a threshold set by the Board require Board approval. Annual financial statements are available to members upon request.
Article VII — Amendments
Amendments to this Constitution require a two-thirds majority vote of members present at the Annual General Meeting, provided that the proposed amendment was circulated to all members at least thirty days before the meeting. Emergency amendments may be adopted by a unanimous vote of the Board, subject to ratification at the next AGM.
Article VIII — Dissolution
In the event of dissolution of PAGB, all remaining assets, after payment of debts and liabilities, shall be distributed to one or more tax-exempt organizations as determined by the Board, consistent with PAGB's charitable purposes and applicable law. No assets shall inure to the benefit of any individual member.
